Who these terms are between

These terms are between Capfaces LLC, of Prescott, Arizona ("we", "us"), and the shop placing a wholesale order ("you"). The person who places an order says they are allowed to order for the shop. Ticking "I agree to the Capfaces wholesale terms" when you order is your signature on them, and they apply to that order.

Orders

An order is an offer to buy. It becomes a sale when we confirm it by email. We can turn down or cancel an order before it ships; if you paid for it, we refund it in full.

An opening order is at least $156. A reorder is at least $78.

Prices

The wholesale price list today:

• Capfaces Original: $6.50 a unit, in cases of 12 (retail $12.99)
• Counter display: $156. 24 Capfaces, 12 on the counter and 12 in the bin behind it. The display itself is free. The opening order.
• Faces Card: $4 a unit, in cases of 12 (retail $7.99)

The price on your confirmed order is the price you pay. We can change the price list; a change applies only to orders placed after it.

Payment

We invoice an order when we confirm it, and you pay it online by card or bank transfer (ACH). An opening order is paid before it ships, unless we offer you Net 30 terms. After 2 paid orders, every order is Net 30: due 30 days after we confirm it, and it ships before it is paid.

If an invoice is late, we can hold new orders until it is paid. There is no late fee.

Taxes

Prices do not include sales tax. A wholesale sale is tax-free only with a valid resale certificate on file; an Arizona shop sends Form 5000A with its TPT license number, uploaded on its stockist page. Without one, we may have to charge tax.

Shipping

We ship within 5–7 business days of confirming a Net order, or of receiving payment for a prepaid one. We email the tracking number when it ships.

Freight is $12 an order, and free on orders of $156 or more. We ship within the United States only. The box is ours to worry about until it is delivered.

Damaged, missing or wrong

Tell us within 7 days of delivery, with a photo, if anything arrives damaged, missing or wrong, and we replace it free. Reply to any of our emails or write to hello@capfaces.com.

The sell-through guarantee

What does not sell, we take back. Within 60 days of delivering your opening order, send back the Capfaces from it that have not sold, unused and as we sent them, and we refund what you paid for them. We pay the postage back.

The display

The counter display comes free with the opening order and is yours to keep. Its restock code opens your own stockist page, where you reorder.

Our advertised price

We do not advertise an Original below $12.99, on our own site or anywhere else, and we ask the same of every stockist. This is our policy, not something you promise: you set your own prices. We may stop selling to a shop that advertises below it.

Safety

Every item we ship carries its printed age grade, warning and batch code. Sell each one as we ship it, with those left on and readable, and do not sell parts on their own. If we ever recall a product, take it off sale when we tell you and help us reach the people who bought it where you can. We stand behind what we make and will refund or replace a recalled item.

Our name and photos

You may use the Capfaces name, logo, photos and videos to sell Capfaces, and we may name your shop as a place to find them (on our stockist list only once you say yes). Your shop's own Capface is made for you, and we do not sell it to anyone else while you carry Capfaces.

No territory

Carrying Capfaces gives no shop an exclusive area. Either of us can stop at any time; orders already confirmed are still shipped and paid for.

Our responsibility

We make Capfaces with care. As far as the law allows, the most we are responsible for on an order is what you paid for it, and neither of us is responsible to the other for lost profits.

The law

Arizona law governs these terms, and any dispute goes to the courts in Yavapai County, Arizona. Write to us first: most things are fixed in a reply.

Changes

We may update these terms. Each order is governed by the version you agreed to when you placed it, and the date of that agreement is on your confirmation email. These terms, your confirmed order and its invoice are the whole agreement for that order.
